Terms and Conditions

1. Scope

These General Terms and Conditions apply to all contracts between AIPathTech GmbH, Wiedner Hauptstraße 90–92/1/10, 1050 Vienna, Austria (hereinafter 'Provider') and its customers and users (hereinafter 'Customer').

2. Formation of Contract

The presentation of services on our website does not constitute a legally binding offer. By making contact or placing an order, the Customer makes a binding offer. The contract is concluded upon written confirmation by the Provider.

3. Service Description

The Provider offers AI consulting services as well as the development and provision of AI-powered software solutions. The exact scope of services is defined in each individual order or contract. All information on the website is for general informational purposes only.

4. Prices and Payment Terms

All prices are in Euros plus applicable VAT. Invoices are payable within 14 days of the invoice date without deduction. In the event of late payment, we are entitled to charge interest at the statutory rate.

5. Copyright and Usage Rights

All content, software products, and documentation created by the Provider are protected by copyright. The Customer receives a non-exclusive, non-transferable right to use them for the contractually agreed purpose. Transfer to third parties requires the written consent of the Provider.

6. Data Protection

The collection and processing of personal data is carried out in accordance with our Privacy Policy and applicable data protection laws, in particular the GDPR. Please refer to our Privacy Policy for details.

7. Limitation of Liability

The Provider is only liable for intent and gross negligence. In cases of slight negligence, the Provider is only liable for breach of essential contractual obligations. Liability in this case is limited to foreseeable, typical contractual damages. Liability for data loss is limited to the typical restoration effort.

8. Warranty

The statutory warranty provisions apply to defects in services rendered. Defects must be reported in writing immediately upon discovery. The Provider is entitled to remedy defects by repair or replacement.

9. Confidentiality

Both parties undertake to keep all confidential information received in the course of the cooperation secret and not to disclose it to third parties. This obligation also applies after termination of the contractual relationship.

10. Termination

Ongoing agreements may be terminated by either party with 30 days' notice to the end of the month, unless otherwise agreed. The right to extraordinary termination for good cause remains unaffected.

11. Changes to Terms

The Provider reserves the right to change these Terms at any time. Changes will be communicated to the Customer in writing or by email. If the Customer does not object within 30 days of notification, the amended Terms are deemed accepted.

12. Applicable Law and Jurisdiction

Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is Vienna, Austria, provided the Customer is a business.

13. Severability Clause

Should individual provisions of these Terms be or become invalid, this does not affect the validity of the remaining provisions. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the invalid provision.
